Emission of Stocks on NewConnect

Raiffeisenbank is currently the only one Czech company that has permission from the Warsaw Stock Exchange to provide Authorized Advisory services on the alternative capital market NewConnect. The main role of Raiffeisenbank as registered Authorized Advisor is to support the company during the preparation for the debut and during the follow-up one – year time period of NewConnect presence.

NewConnect

NewConnect is an alternative capital market organized by Warsaw Stock Exchange intended for dynamic and innovative small – middle market companies that need capital for further growth and fulfillment of it strategic targets. NewConnect platform offers an alternative to bank financing that allows issuer to raise financial funds in the small volume (EUR 1 mil., upper limit is not regulated).

Main advantage of NewConnect compared to other capital markets is reduced regulation rules and reporting duties. Additionally the issuers have possibility to enter on NewConnect in a relatively short time period (3-4 months) and lower regulatory costs for listings and trading of stocks.

Each issuer that would like to debut on NewConnect via simplified way has to according to market rules cooperate with Authorized Advisor that support company during the whole emission process. Authorized Advisor acts as guarantee for the stock exchange as well as for investors and issuers that the whole emission process was made according to market rules and any significant information are omitted or misrepresented.

Basically we can say that NewConnect is simpler and more liberal capital market platform with reduced levels of control, which helps companies to prepare them on debut of the main market - Warsaw Stock Exchange.

Authorized Advisor services

The main advantage of Raiffeisenbank is not only its primate of Authorized Advisor status in the Czech Republic but also the ability to support companies within the whole IPO process, minimize risk arising from the international process and the ability to provide strength and background of Raiffeisen Banking Group.

Within the IPO process on NewConnect Raiffeisenbank provides following services:

  • Design of issue structure – participation on development of overall issue strategy;
  • Advisory during assessment of a required volume of capital;
  • Company valuation for issue purposes;
  • Preparation of Information Document and other required documents necessary for debut on NewConnect;
  • Preparation of presentation with the goal to acquire an adequate amount of future bonds/stock holders ;
  • Negotiating with regulators of financial markets and central securities depository in the matter of stock issue
  • Assistance with a negotiating with other advisors (lawyers, tax advisors, auditors) and Market Maker/Market Animator;
  • Mandatory supervision services of issuer as defined by NewConnect rules.
